A leading AmLaw 100 firm invites a motivated and talented mid-level M&A Corporate Associate Attorney to enhance its team in the Baltimore office. This role offers the chance to engage in sophisticated corporate transactions—including mergers and acquisitions (M&A), finance, and private equity matters—serving leaders in industries such as software, telecommunications, healthcare, biotechnology, financial services, and cannabis.

Candidate Profile:

- Educational Background: JD from a top-tier law school with a strong academic record.

- Bar Admission: Active and in good standing in Maryland, or the ability to become Maryland barred.

- Experience: 3–6 years of substantive experience in corporate transactional matters, preferably within a large law firm setting.

- Expertise: Demonstrated experience in mergers and acquisitions, as well as finance and private equity transactions.

- Skills: Ability to independently manage components of complex transactions and engage directly with clients.

- Teamwork: A collaborative mindset with meticulous attention to detail and dedication to exceptional client service.

- Soft Skills: Proficiency in legal research, writing, and communication, coupled with excellent business acumen.

Key Responsibilities:

- Advisory Role: Guide investment funds and their portfolio companies through various corporate M&A matters.

- Transactional Work: Lead or support engagements in mergers, acquisitions, financings, and equity investments.

- Drafting & Negotiation: Craft and negotiate critical corporate documents like stock purchase agreements, operating agreements, and disclosure schedules.

- Client Counseling: Provide sound counsel to clients in software, telecommunications, healthcare and biotech, financial services, and cannabis industries.

- Collaboration: Partner with peers and cross-practice teams to ensure timely and strategic deal execution.

- Ongoing Support: Offer continuous support to clients on general corporate issues and regulatory matters.
