Cleerly has created a new standard of care for heart disease through value-based, AI-driven precision diagnostic solutions with the goal of helping prevent heart attacks. Our technology goes beyond traditional measures of heart disease by enabling comprehensive quantification and characterization of atherosclerosis, or plaque buildup, in each of the heart arteries. Cleerly’s solutions are supported by more than a decade of performing some of the world’s largest clinical trials to identify important findings beyond symptoms that increase a person’s risk of heart attacks.
At Cleerly, we collaborate digitally and use a wide variety of systems. Our people use Google Workspace (GMail, Drive, Docs, Sheets, Slides), Slack, Confluence/Jira, and Zoom Video, prior experience in these areas is a plus. Role or department specific technology needs may vary and will be listed as requirements in the job description.
About the Opportunity
Cleerly is seeking an experienced and strategic General Counsel or Chief Legal Officer to lead its legal and compliance functions. This role will report directly to the executive leadership team and will be responsible for providing high-level legal counsel and guidance on a wide range of complex legal, regulatory, and compliance matters.
Responsibilities
- Oversee all legal affairs of the organization, including corporate governance, commercial transactions, intellectual property, litigation, regulatory compliance, and employment law.
- Serve as a trusted advisor to the executive team and board of directors on strategic legal matters and risk management.
- Develop and implement legal policies and procedures to ensure compliance with applicable laws and regulations.
- Manage and mentor the legal team, fostering a culture of excellence, collaboration, and accountability.
- Represent the organization in negotiations, legal proceedings, and regulatory interactions.
- Provide proactive legal counsel on complex business transactions, including mergers and acquisitions, partnerships, and strategic alliances.
- Identify and mitigate legal risks, developing and implementing strategies to protect the organization’s interests.
- Collaborate with other departments, including finance, HR, IT, and operations, to provide legal guidance and support on various initiatives.
- Ensure the organization’s compliance with data privacy laws and regulations.
- Manage outside counsel and legal vendors effectively.
Skills and Abilities

Requirements
- Juris Doctor (JD) degree from an American Bar Association accredited law school and active bar membership in good standing.
- Minimum of 20+ years of progressive legal experience, with significant in-house experience in the healthcare, IT, medical device, or a related industry.
- Proven track record of providing strategic legal counsel to executive leadership teams and boards of directors.
- Extensive experience in corporate governance, commercial transactions, regulatory compliance, and litigation management.
- Experience in mergers and acquisitions, partnerships, and other complex business transactions.
- Experience in healthcare contracting in fee-for-service, value-based care, and clinical trials
- Strong knowledge of data privacy laws and regulations.
- Start-up experience strongly preferred.
- Experience managing and developing legal teams.
