We are seeking a smart, experienced, well-organized and highly motivated Associate Director - Corporate Counsel to support our General Counsel and join our growing Legal Team in connection with all non-commercial contract matters, including equity plans, equity issuances, corporate governance, mergers and acquisitions, intellectual property, compliance, employment matters, marketing matters, litigation and other corporate initiatives, as well as contributing and/or leading legal efforts in a potential initial public offering and assisting with and offering legal counsel and advice on a variety of other legal matters. 

You will report to the General Counsel and will coordinate and collaborate with internal stakeholder organizations such as the Finance & Accounting, Corporate Development, People, Marketing, IT, Product and Engineering and Executive Teams. You will interface with other senior management with the goal of reducing process friction, improving transaction flow and driving better internal and external customer experiences and help us to build scalable tools and processes to support a fast-growing global organization. You will also be expected to have an interest in and a working knowledge of privacy rights and obligations (both domestically and abroad), be a strong contributor to the company’s compliance initiatives as well as directly support the General Counsel on a variety of other matters.

Your job will be to:

  • Build Bloomreach to IPO-readiness including partnering with the finance and executive teams and manage with the General counsel all disclosure and securities filings necessary to go and to stay public
  • Manage and often lead the Company’s legal efforts on extraordinary transactions, including equity financings, debt financings, mergers and acquisitions and potentially an initial public offering
  • Advise on employment law matters, privacy and data security, corporate governance and compliance, real estate, marketing, trademark, and any other legal matters that arise
  • Provide practical, productive and efficient legal support to Bloomreach’s internal stakeholders including sales, support, marketing, engineering, finance, people operations and people teams
  • Collaborate with and be a valued mentor to your legal colleagues on non-contract issues
  • Provide training to Company personnel on legal topics
  • Work with and manage outside counsel on a variety of legal matters
  • Support our fantastic and growing commercial contracts team when necessary
  • Have fun and make work fun for others while doing all of the above

Your success story will be:

  • In 30 days, you will be familiar with the Legal team's forms and processes
  • In 90 days, you will independently manage matters assigned to you
  • In 180 days, you will begin to anticipate and proactively identify issues and propose and pursue solutions

Professional experience

  • J.D. and excellent academic credentials
  • Member in good standing of state bar association
  • 6+ years of relevant experience, ideally with a mixture of in-house at a late-stage private or public technology/software company and with a nationally-recognized law firm.
  • Experience with corporate governance, mergers and acquisition, equity and debt securities, employment law, intellectual property, litigation, licensing, privacy, and/or data security (initial public offering, public company and SEC reporting experience a plus)

  • Excellent drafting skills
  • Strong negotiating skills with both legal and financial/commercial issues
  • Ability to be flexible and to efficiently and confidently balance legal risks and business concerns
  • Excellent business judgment and creativity, with the ability to think strategically and give practical advice appropriately weighing legal and business objectives
  • High integrity, good organizational skills and ability to analyze, plan, prioritize and execute resourcefully on multiple, simultaneous projects
  • Entrepreneurial mindset; flexible, self-starting and hard-working
  • Effective at managing project expectations, reporting to upper level management, and managing escalations of legal and business issues with a sense of urgency
  • International and cross-border experience a plus
  • Sense of humor and ability to have fun

The pay range actually offered will take into account a variety of potential factors considered in compensation, including but not limited to skills, qualifications, geographic location, accomplishments, experience, credentials, internal equity and business needs, and may vary from the range listed above.
Base Salary Range
$190,000$250,000 USD
